Aspectos jurídicos críticos do regime da hipoteca de navios na lei portuguesa : as inovações contempladas no Registo Internacional de Navios da Madeira

Abstract

Portugal sempre revelou uma sinergia com o mar, tendo a sua economia beneficiado muito com a actividade da marinha de comércio nacional, pelo que foi encontrada uma solução para aumentar o seu rendimento. Para atrair um maior número de registo de navios no País, foi criado um segundo registo de navios, o Registo Internacional de Navios da Madeira - MAR, no Centro Internacional de Negócios de cariz aberto, com qualidade, capaz de competir no plano internacional. Na compra e venda de navios registados no MAR com hipotecas, a capacidade de atracção externa está acautelada por uma disposição especial que permite a escolha da lei aplicável pelas partes, em detrimento da lei portuguesa e sem colocar em causa a legislação internacional que vincula Portugal. Ademais, o ordenamento jurídico português possibilita a expurgação da hipoteca ao novo adquirente do navio, ficando o bem desonerado de todos os encargos estipulados no contrato de hipoteca, através do pagamento integral das dívidas do bem aos credores hipotecários, com base na alínea a) do art. 721.º do Código Civil. Tal é possível porque com o Decreto-Lei n.º 234/2015, de 13 de Outubro, o disposto na controversa alínea b) contemplada no artigo 14.º do Código Civil referente à expurgação foi afastado devido às suas consequências negativas para a segurança jurídica da hipoteca, inaceitáveis para os bancos. Assim, a nova solução veio conceder um maior conforto às entidades bancárias, fomentando o recurso ao crédito como meio de financiamento da aquisição de navios, traduzindo-se num aumento de navios registados no MAR pela flexibilidade do seu regime jurídico referente à hipoteca de navios, entre outros benefícios legais.

Considering that Portugal has always had a synergy with the sea, with its economy benefiting a lot from the marine national activity, a solution to increase the Country’s profit has been found. To attract a larger number of shipping registrations, the International Shipping Register Madeira - MAR was created in the country at the International Business Centre of Madeira an open and second shipping register, able to compete on an international plan thanks to its quality. The external attractiveness of the purchase and sell of vessels registered with MAR is assured by a special provision, allowing the possibility of choosing a foreign law without prejudice of the international conventions which were signed by Portugal. Furthermore, the portuguese law allows the right of release where the new purchaser declares that is ready to pay the mortgage entirely, based on the option a) of the article 721st on the Portuguese Civil Code. Due to the Decree-Law n. º 234/2015, of October 13th, the controversial option b) of the article 721st on the Portuguese Civil Code regarding the release is no longer an issue due to its former harmful effects on the mortgage which were unacceptable to the banks. Therefore, the new solution grants a larger comfort to financial entities and stimulates the access to credit financing as a consequence in matters of the purchase of vessels which contributes to increase MAR shipping registrations considering their special legal framework addressing ships mortgages as well as other legal benefits.
